Roles & Responsibilities

• Drafting Legal Documents

  Prepare, review, and negotiate a wide range of legal documents including contracts, agreements, and corporate resolutions to ensure compliance, accuracy, and minimal risk.

• Providing Legal Counsel

  Offer expert legal advice to executive management and stakeholders on corporate law matters, ensuring all decisions align with legal regulations and company policy.

• Compliance Monitoring

  Oversee corporate compliance programs by regularly assessing organizational practices against relevant laws and regulations, identifying potential risks, and resolving compliance issues.

• Handling Mergers and Acquisitions

  Lead the legal aspects of mergers, acquisitions, and divestitures. Conduct due diligence, negotiate terms, and ensure legal documentation is accurately executed.

• Dispute Resolution

  Manage and resolve corporate disputes and litigation, working closely with external legal teams to formulate defense strategies and represent the company in legal proceedings.

• Legal Research

  Conduct thorough legal research on corporate law precedents, changes in regulations, and upcoming legislation to keep the organization informed and legally secure.

• Corporate Governance

  Ensure that corporate governance practices are duly observed by advising board members on legal implications, organizing board meetings, and drafting minutes and resolutions.

Typical Required Skills and Qualifications

• J.D. degree from an accredited law school.

• 3+ years of experience in corporate law, including mergers and acquisitions.

• Strong understanding of corporate governance and regulatory compliance.

• Proven track record in negotiating and drafting complex contracts.

• Excellent analytical, communication, and interpersonal skills.
